How will the two platforms operate, integrate?** * We will seek to enhance and expand the technology, tools, and value proposition of both brands with the intention of creating a world-class digital experience platform with a wide range of benefits for our customers. ### **Will Tock users still be able to use the Tock app and Tock web pages to book reservations? Will Tock’s app be merged into Resy?**  * Tock will continue to operate in its normal course until the transaction closes.  After the closing, Amex will continue to offer Tock’s services and capabilities while we integrate and further develop the best digital tools to restaurants and their patrons. ### **Will Tock restaurants become Resy restaurants when the deal closes? Will they be forced to switch operating systems?** * Nothing changes for Tock restaurants today. Tock and Resy remain separate businesses and will continue to operate independently until the transaction closes. * After close, we will further evaluate how the Tock platform and Resy best fit together with the intention to expand options and tools for restaurants. Restaurants will be able to choose solutions that best serve their businesses.   ### **When will Tock’s product features be available to Resy restaurants?** * Upon close, we will further evaluate how to bring tools and resources to restaurants that they need to thrive. We do not have further plans to share at this time. ### **Will Tock restaurants be eligible for Resy Editorial coverage? Resy events? Amex marketing?**  * We look forward to growing our restaurant network and eventually working with Tock restaurants in myriad ways. ### **Will Tock restaurants become part of Resy’s Global Dining Access program?** * While Resy certainly has ambitions to continue growing its Global Dining Access program, Tock venues will continue to be available to all consumers, similar to how Resy restaurant reservations are available to all Resy users. * We don’t have any further plans to share at this time.   ### **Will all Tock restaurants be required to accept Amex? What is the current Amex acceptance rate at Tock restaurants?** * Tock restaurants will not be required to accept Amex. However, in the U.S., 99% of locations that accepted credit cards in 2023 could accept American Express. Therefore, a significant portion of merchants on the Tock platform already accept American Express cards.   ### **What does this mean for Resy’s Product Roadmap? What is on the Resy Product roadmap – for Diners, and for Restaurants – for the remainder of the year?** * We will stay focused on the product roadmap we’ve laid out for the year, and we will over time, post- close, evaluate how to offer the best digital tools to restaurants and their patrons. ### **I have an upcoming Tock reservation – does this affect me?** * No, Tock will continue to operate in its normal course until the transaction closes. Diners can continue to make, modify or cancel any reservations through Tock as normal. ### **Can I only book reservations through Tock if I have an American Express Card?** * No. Diners can continue to use their card of choice when booking and paying through the Tock platform.   ### **Do I get extra benefits from Tock if I have an American Express Card?** * No, Tock will continue to operate in its normal course until the transaction closes. We are hard at work planning for the future but have no plans to share at this time. ### **Will guests need to download a new app?** * No. There will be no changes to the Tock app at this time.   ### **Will there be any changes to our pre-payment strategy?**  * No. There are no changes to our product offering at this time.   ### **Will our restaurants now all move over to Resy?**  * No. The plan is for both Tock and Resy to operate under American Express Global Dining.   ### **Does my point of contact change for payment-related issues?**   * No. Restaurants should continue to reach out to their existing Tock contact for any questions related to their Tock usage or contract, and to their American Express representative for questions related to card acceptance.      ### **I don’t accept Amex today. As a Tock customer, am I now going to have to accept Amex?**   * We hope you will consider accepting Amex, but it will not be a prerequisite for using the Tock platform after the transaction closes. Tock restaurant customers will continue to be able to choose the payment methods they want to accept.      ### **If my restaurant doesn’t use Resy or Tock, do I pay a higher Amex transaction rate?**   * No.      ### **Will there be a discount on my Tock subscription/fees if I have an Amex card / accept Amex?**   * The acquisition will not impact AXP’s discount rate, and it will not impact the cost of Tock’s services.        ### **How will my restaurant benefit from Tock being owned by American Express?**   * Following the closing of the transaction, we will deliver greater value to restaurants first, by giving them world class technology at industry prices, which will enhance hospitality and streamline operations; second, by creating opportunities for them to connect with new customers.    ### **I like Tock’s product and service, will it change?** * You will continue to receive the same great product and customer service.   * We believe that under American Express, Tock will continue to deliver great value to its customers and an exceptional product that helps restaurant operators maximize their revenue.    ### **Will Tock restaurant partners get more reservation bookings from AMEX Dining as part of this?**  * American Express will be able to offer Tock and its customers access to a more robust dining partner program. This is an important value-add to our restaurant partners.
